In this role as an Assistant General Counsel reporting to the VP Legal, you will advise on a range of issues concerning business conducted in the UK and Ireland.

Key responsibilities
  • Advising on e-commerce and implementing strategy together with the business.
  • Advising on general commercial issues including advising on data protection questions as they arise and implementing strategy; advising on intellectual property issues; reviewing marketing materials; advising on fraud and compliance queries and advising on pension matters.
  • Periodic review and updating of standard template sales contracts.
  • Negotiating sales contracts including drafting required amendments to standard contract documents and the production of bespoke agreements.
  • Providing general legal advice and support to the Human Resources team on employment law issues.
  • Managing property matters (including responsibility for various leases and subleases and advising on the issues arising thereon).
  • Acting as Company Secretary to the UK and Irish entities including responsibility for company filings and advising on company law matters.
  • Advising on public sector contracts including advising on public procurement process and regular review of RFCs to existing contracts. 
  • Responding to contractual sections of ITTs and RFPs.
  • Reviewing and negotiating supplier agreements.
  • Drafting, reviewing and negotiating confidentiality, novation and other standard business agreements.
  • Working with internal clients to understand products, services and strategy to ensure the right terms, conditions and agreements are concluded to minimise risks.
  • Management of legal claims and instigation of litigation where appropriate.
  • Manage the provision of legal advice from external lawyers on an efficient, cost effective basis.
  • Work effectively with the General Counsel and other members of the legal team on legal and compliance issues and provide appropriate input on legal team initiatives and policy development.

Required skills and experience
  • Qualified solicitor or Barrister with excellent academic credentials.
  • Ideally 5 years PQE experience is required, but applicants with more or less experience will also be considered.
  • Must have experience of drafting key business agreements ie:  sales agreements, licensing contracts, services agreements, support and maintenance service contracts etc.
  • Knowledge of UK employment law would be beneficial.
  • Experience of negotiating contracts within the public sector would be highly desirable.
  • Excellent relationship building / interpersonal skills and highly team-oriented.
  • Superior communication skills, both verbally and written.
  • Good eye for detail
  • Able to learn a complicated and dynamic business, proactively advise on a combination of legal and business issues.
  • Excellent relationship building to facilitate becoming a trusted partner of the business.
  • Must have common sense and able to assess key risks while maintaining strong attention to detail and technical skills.
  • Can do and hands-on attitude.
  • The ideal candidate will demonstrate leadership, high personal standards and professional ethics. This individual must be a collaborative team player and have strong management skills.
  • Flexibility, ability to make decisions quickly, deal with ambiguity and to continuously adjust to market / situation changes.
